Terms and Conditions (T&C) for Suppliers, PickUp Point Partners & Customers

This document is an electronic record pursuant to the Information Technology Act, 2000, and its applicable rules. It complies with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require the publication of rules, regulations, privacy policies, and Merchant T&C for access to or use of the website www.dabba-x.com, the "DabbaX", and "DabbaX Supplier" and "LPNet Partner" applications.

By using the Platform, you signify your acceptance of these T&C, Terms of Use, and all associated policies, including the Privacy Policy.

1. General Overview

DabbaX is an aggregator platform that facilitates Sellers (Kitchen owners, Tiffin service providers, Food Item suppliers etc.) and Consumers (Food-item buyers). This platform is offered by DabbaX Food Aggregators Pvt Ltd. DabbaX operates through:

  • DabbaX Supplier: An App for suppliers (kitchen owners) to setup and manage thier kitchens
  • DabbaX: An App for customers to browse and order food platters, tiffin.
  • LPNet Partner: An App for partners to manage their pickup point.
  • Website: www.dabba-x.com

All is collectively referred to as "Platform," "We," "Us," or "Our", is owned and operated by DabbaX Food Aggregators Private limited, Noida.

2. Platform Ownership

The Platform is owned and operated by DabbaX Food Aggregators Private Limited, a company incorporated under the laws of India with its registered office at G302, Hyde Park, Sector 78, Noida - 201301, UP, India. The terms "you" or "user" refer to merchants registered on the Platform, while website www.dabba-x.com, and Apps - "DabbaX", "DabbaX Supplier", "LPNet Partner", "we", "us", or "our" refer to DabbaX Food Aggregators Private Limited.

3. Amendments to T&C

DabbaX reserves the right to update or modify this T&C at its sole discretion. Such changes will be posted on the Platform and communicated to you via email or other channels. Continued use of the Platform constitutes your acceptance of the amended terms. Suppliers, PickUp Point Partners and Consumers are advised to review these T&C regularly.

4. Platform Services

"DabbaX Supplier" facilitates Kitchen owners to setup their kitchen and to list their platters on the platform. Kitchen owners are the participating merchants ("Merchants") on the platform. End consumers can browse and place orders for the food-products offered by these Suppliers through another App, called "DabbaX". We are offering PickUp Points nearby our Consumer's locations from where they can pick their booked items. These points are being managed by integrating with "LPNet Partner" App.
Our service prices will start from Rs 100/-.

5. Delivery Options

During checkout, customers can choose one of the following options:

  • Self-Pickup: Collect tiffins directly from the kitchen address.
  • Pickup Point: Collect tiffins from designated pickup points (a nominal fee applies).
  • Porter Service: Request the supplier to arrange delivery via an opted porter service. Customers bear the delivery cost, payable to the porter service provider upon successful delivery.
  • Free Delivery: Service offered by Suppliers (totally their choice) based on the distance between their kitchen and customer’s location.

6. Responsibility of Platform Owners (DabbaX)

  • DabbaX serves solely as a communication and facilitation platform. The contract for the sale of goods or services is strictly between the Merchant and the Buyer.
  • DabbaX does not guarantee the quality or performance of products sold on the Platform.
  • Complaints related to product quality or performance must be addressed by the Merchant. DabbaX may share Merchant details with Buyers to aid resolution.
  • DabbaX offers PickUp points, which are managed and owned by Partners. DabbaX serves solely as a facilitation platform. The contract for the Pick and Drop of items is strictly between the Partners, Suppliers and the Buyers.
  • DabbaX operates as an online marketplace and does not assume ownership, interest, or liability for products sold on the Platform.

7. Responsibilities of the Merchants (Kitchen owners/Merchants)

  • Must onboard through the "DabbaX Supplier" App and comply with applicable laws such as the Legal Metrology (Packaged Commodities) Rules, 2011, and the Food Safety and Standards (Labelling and Display) Regulations, 2020.
  • Must provide accurate product descriptions and clear images for display on the Platform.
  • Must update inventory and pricing information on the Platform regularly.
  • Responsible for the quality, safety, and compliance of food with all Indian legal regulations.
  • Address Buyer complaints promptly and ensure satisfactory resolution.
  • Obligated to handle cancellations as per the permitted cancellation window.
  • Maintain professional conduct with Buyers, PickUp Point Partners, DabbaX representatives, and Delivery service personnels.
  • Settlement of earnings (after adjustments for cancellations) will be processed weekly by DabbaX.

8. Responsibilities of the Customers

  • Browse and place orders through "DabbaX" App, for which payments are to be made online during order placement.
  • Customers have an option to maintain a wallet balance for quicker checkouts.
  • Entitled to refunds for cancellations within the cancellation window.

9. Responsibilities of the LPNet Partner managing the Pickup Points

  • Responsible for safely handling tiffins and ensuring no theft, loss, or damage.
  • Must notify Supplier to collect unclaimed tiffins promptly.
  • Compliance with all applicable laws related to parcel drop and pickup is mandatory.

10. Refunds and Cancellations

  • Cancellations can be initiated by either the customer or the kitchen within the permitted cancellation window.
  • Refunds against cancellations are credited to the customer's original payment method, within 1-2 days post cancellation.

11. Settlements

Weekly settlements for completed orders are processed as follows:

  • Suppliers Accounts are weekly credited for the successfully executed deliveries after adjusting cancellations, if any.
  • Pickup point service fee is credited to Partner's account, weekly for all completed services after adjusting cancellations, if any.

12. Termination and Suspension

DabbaX reserves the right to suspend or terminate services to a Merchant for reasons including but not limited to:

  • Recurring Buyer complaints.
  • Non-compliance with applicable laws.
  • Misconduct or breach of Merchant T&C.

DabbaX may reinstate services at its discretion.

13. Intellectual Property

Each party retains ownership of their respective intellectual property rights. Merchants shall not infringe upon DabbaX's trademarks or proprietary assets.

14. Force Majeure

Neither party shall be held liable for failure to perform obligations due to unforeseen circumstances beyond their control, such as natural disasters, acts of war, or government restrictions.

15. Legal Compliance:

  • All users, including suppliers, and pickup point partners, must adhere to all applicable laws and regulations related to food safety, delivery, and parcel handling.
  • All disputes arising out of or in connection with the use of our platform, services, or these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
